1. Общие положения

1.1. Оферта - настоящий документ "Лицензионный договор-оферта", публичное предложение Лицензиара (Сергеева Сергея Юрьевича, ИНН 301707401141), адресованное физическим и юридическим лицам, заключить с ним лицензионный договор (далее - Договор) на условиях, содержащихся в Договоре.

1.2. Акцепт - полное и безоговорочное принятие Лицензиатом условий Договора. Акцептом по настоящему Договору является факт оплаты Лицензиатом через платёжный сервис ЮKassa.

2. Предмет договора

2.1. По настоящему Договору Лицензиар обязуется предоставить Лицензиату на условиях неисключительной лицензии права на использование браузерного расширения AI-промпт-менеджер для Google Chrome (далее — «Расширение»).

2.2. Настоящим Лицензиар подтверждает, что на момент предоставления Лицензиату Объект исключительных прав (ОИС) не заложен, не арестован, не является предметом исков третьих лиц и/или разбирательств, не ограничен в обороте и является лицензионным продуктом в соответствии с законодательством Российской Федерации.

2.3. Расширение устанавливается из официального магазина Chrome Web Store по адресу https://chromewebstore.google.com/detail/ai-промпт-менеджер/afgdhcjcenppdbdoejdfepeefjdeaadg. Корректная работа зависит от версии браузера и операционной системы Лицензиата.

2.4. Расширение предназначено для сохранения диалогов с AI-сервисов локально на устройство Лицензиата.

2.5. Лицензиат вправе использовать ОИС исключительно по прямому назначению в соответствии с функционалом ОИС и в рамках прав, предоставленных Договором. Право и способ использования ОИС.

2.6. Лицензия предоставляется только для личного использования. Запрещается передавать, продавать, сдавать в аренду или иным образом распоряжаться ключом третьим лицам.

2.7. Запрещается декомпиляция, обратный инжиниринг, изменение или распространение Расширения.

3. Лицензионное вознаграждение и порядок оплаты

3.1. За предоставляемые по настоящему Договору права на использование Расширения (ОИС) Лицензиат обязуется уплачивать Лицензиару вознаграждение (лицензионный платеж).

3.2. Размер лицензионного вознаграждения за предоставление неисключительной лицензии составляет 990 рублей.

3.3. Оплата вознаграждения производится в форме предоплаты через платёжный сервис ЮKassa.

3.4. Подписка действует бессрочно с момента активации лицензионного ключа. Повторного списания денежных средств не производится.

4. Активация лицензии

4.1. После оплаты лицензионный ключ отправляется на e-mail, указанный Лицензиатом при оплате.

4.2. Лицензиат вводит полученный лицензионный ключ в интерфейсе Расширения.

4.3. Лицензия привязывается к устройству или аккаунту Лицензиата в соответствии с технической реализацией Расширения.

5. Ответственность Сторон

5.1. За невыполнение или ненадлежащее выполнение обязательств по настоящему Договору Стороны несут ответственность в соответствии с действующим законодательством.

5.2. Лицензиар не отвечает за работу сторонних сервисов: Google Chrome, Chrome Web Store, ЮKassa, интернет-провайдеров.

5.3. Лицензиар не гарантирует совместимость Расширения со всеми версиями браузеров и операционных систем.

6. Возврат и отказ

6.1. После отправки лицензионного ключа возврат денежных средств не производится, кроме случаев технической неработоспособности Расширения по вине Лицензиара, если такая проблема не устранена в разумный срок.

7. Прочие положения

7.1. Сайт не размещает рекламу, не использует аналитические инструменты, рекламные cookies и маркетинговые рассылки.

7.2. Лицензиар может изменить условия оферты в одностороннем порядке. Новая редакция вступает в силу с момента публикации на сайте aixport.ru.

7.3. Для Лицензиатов, оплативших услугу до изменений, применяются условия, действовавшие на момент оплаты.

8. Заключительные положения

8.1. Настоящая оферта регулируется законодательством Российской Федерации.

8.2. Оферта размещена на сайте aixport.ru и вступает в силу для Лицензиата с момента акцепта.

Цели обработки:

выдача лицензионного ключа Pro Lifetime;
направление чека об оплате;
технические сообщения по лицензии;
ответы в поддержку;
контроль лимита 12 бесплатных экспортов и защита от злоупотреблений (не более 5 новых устройств с одного IP-адреса в сутки);
выявление отозванных или скомпрометированных лицензионных ключей.

Способы обработки: сбор, запись, хранение, использование, передача и удаление с применением автоматизированных средств.

Срок хранения: в течение срока действия лицензии и трёх лет после её окончания, если иное не предусмотрено законодательством РФ.

Передача третьим лицам: email и сведения, необходимые для оплаты, могут передаваться платёжному сервису ЮKassa только в объёме, необходимом для оплаты и отправки чека. Технические идентификаторы и IP-адрес не передаются третьим лицам.

Права субъекта: я вправе отозвать согласие, запросить уточнение, удаление или прекращение обработки своих данных, направив обращение на info@aixport.ru.

Public Offer

1. General Provisions

1.1. "Offer" means this document "License Agreement-Offer", a public offer of the Licensor (Sergey Y. Sergeev, TIN 301707401141), addressed to individuals and legal entities, to enter into a license agreement (hereinafter — the "Agreement") with the Licensor on the terms set forth in the Agreement.

1.2. "Acceptance" means full and unconditional acceptance by the Licensee of the terms of the Agreement. Acceptance of this Agreement is the fact of payment by the Licensee through the YooKassa payment service.

2. Subject of the Agreement

2.1. Under this Agreement, the Licensor undertakes to provide the Licensee, on the terms of a non-exclusive license, the rights to use the AI Prompt Manager browser extension for Google Chrome (hereinafter — the "Extension").

2.2. By this, the Licensor confirms that at the time of granting to the Licensee, the Object of Exclusive Rights (the "Object") is not encumbered, not arrested, is not the subject of claims by third parties and/or proceedings, is not restricted in circulation, and is a licensed product in accordance with the legislation of the Russian Federation.

2.3. The Extension is installed from the official Chrome Web Store at https://chromewebstore.google.com/detail/ai-%D0%BF%D1%80%D0%BE%D0%BC%D0%BF%D1%82-%D0%BC%D0%B5%D0%BD%D0%B5%D0%B4%D0%B6%D0%B5%D1%80/afgdhcjcenppdbdoejdfepeefjdeaadg. Correct operation depends on the Licensee's browser version and operating system.

2.4. The Extension is intended for saving dialogs from AI services locally on the Licensee's device.

2.5. The Licensee is entitled to use the Object exclusively for its intended purpose in accordance with the functionality of the Object and within the rights granted by the Agreement. The right and method of use of the Object.

2.6. The license is granted for personal use only. It is prohibited to transfer, sell, rent or otherwise dispose of the key to third parties.

2.7. Decompilation, reverse engineering, modification or distribution of the Extension is prohibited.

3. License Fee and Payment Procedure

3.1. For the rights to use the Extension (Object) granted under this Agreement, the Licensee undertakes to pay the Licensor a fee (license payment).

3.2. The amount of the license fee for the grant of the non-exclusive license is 990 rubles.

3.3. Payment of the fee is made by prepayment through the YooKassa payment service.

3.4. The subscription is valid indefinitely from the moment of activation of the license key. No repeated debit of funds is made.

4. License Activation

4.1. After payment, the license key is sent to the email specified by the Licensee during payment.

4.2. The Licensee enters the received license key in the Extension interface.

4.3. The license is tied to the device or account of the Licensee in accordance with the technical implementation of the Extension.

5. Liability of the Parties

5.1. For failure to perform or improper performance of obligations under this Agreement, the Parties are liable in accordance with applicable law.

5.2. The Licensor is not responsible for the operation of third-party services: Google Chrome, Chrome Web Store, YooKassa, internet providers.

5.3. The Licensor does not guarantee compatibility of the Extension with all versions of browsers and operating systems.

6. Refund and Refusal

6.1. After sending the license key, refunds are not made, except in cases of technical inoperability of the Extension due to the fault of the Licensor if such problem is not resolved within a reasonable time.

7. Other Provisions

7.1. The website does not place advertisements, does not use analytics tools, advertising cookies and marketing mailings.

7.2. The Licensor may change the terms of the offer unilaterally. The new version takes effect from the moment of publication on the website aixport.ru.

7.3. For Licensees who paid for the service before the changes, the terms in effect at the time of payment apply.

8. Final Provisions

8.1. This offer is governed by the legislation of the Russian Federation.

8.2. The Offer is posted on the website aixport.ru and takes effect for the Licensee from the moment of acceptance.

Purposes of processing:

issuance of the Pro Lifetime license key;
sending the payment receipt;
technical messages regarding the license;
support replies;
enforcing the 12 free export limit and protecting against abuse (no more than 5 new devices from one IP address per day);
detecting revoked or compromised license keys.

Processing methods: collection, recording, storage, use, transfer, and deletion using automated means.

Storage period: during the term of the license and three years after its expiration, unless otherwise provided by the legislation of the Russian Federation.

Transfer to third parties: email and data required for payment may be transferred to the YooKassa payment service only to the extent necessary for payment and sending the receipt. Technical identifiers and IP address are not transferred to third parties.

Subject rights: I have the right to withdraw consent, request clarification, deletion, or termination of processing of my data by contacting info@aixport.ru.
